Self-Serve Terms of Service
Effective date: May 1, 2026
These Self-Serve Terms of Service (the “Terms”) govern your access to and use of the KYRO product and any related self-serve features made available by Intrepid Prime (“Intrepid Prime,” “we,” “us”) through our self-serve flow at intrepidprime.com.
These Terms apply to users who request access through our self-serve form, are approved by Intrepid Prime, and create an account. Enterprise customers who execute a Master Services Agreement with Intrepid Prime are governed by that agreement instead of these Terms.
By creating an account, clicking to accept these Terms, or using the Services, you agree to these Terms. If you do not agree, do not create an account or use the Services.
The Acceptable Use Policy and the AI & Output Disclosure are incorporated into these Terms by reference. You should read them. In any conflict between these Terms and those documents, these Terms control.
1. Account access and approval
Self-serve access is by request and approval. You complete a request form, we review the request, and we approve or decline at our discretion. Approval is not a representation that you are entitled to ongoing access, and we may revoke approval or suspend an account at any time, with or without cause, subject to Section 9.
You are responsible for the accuracy of the information you provide in your request, including your name, employer, work email, and intended use of the Services.
2. Service tiers
We offer the Services on two self-serve tiers:
2.1 Free tier
The free tier provides limited access to the Services, including a capped number of queries per period as set by Intrepid Prime from time to time. We may change the number of free queries, the cap period, or the features available at the free tier on notice posted to intrepidprime.com or to your account, without further obligation to you.
Output produced through the free tier is licensed to you for evaluation of the Services and internal, non-commercial review only. You may not incorporate free-tier Output into any client deliverable, work product sold or licensed to a third party, marketing material, regulatory filing, or external publication.
2.2 Paid tier
The paid tier is a fixed three (3) month term, paid in advance by credit card, at a price posted on intrepidprime.com or otherwise communicated to you at the time of purchase. The paid tier provides expanded query allowance and the broader Output license described in Section 4.
The paid term begins on the date of payment and ends three (3) months later. Access ends at the conclusion of the term unless you elect to renew by purchasing a new term, or unless you and Intrepid Prime execute a Master Services Agreement, which will supersede these Terms on its effective date.
Subscriptions do not automatically renew. We reserve the right to introduce automatic renewal of paid subscriptions on no less than thirty (30) days’ prior notice to you, with a clear opt-out mechanism at the time of renewal. If we introduce automatic renewal, renewals will be for successive three-month terms at the then-current price unless you cancel before the renewal date.
3. Fees and payment
Paid-tier fees are payable in advance by credit card at the time of subscription. By providing payment information, you authorize Intrepid Prime and our payment processor to charge the applicable fee to your card.
Fees are non-refundable, except where required by applicable law or where Intrepid Prime terminates your subscription for reasons other than your breach of these Terms. Termination by you, suspension or termination by us under Section 9 for your breach, or non-use of the Services during the term does not entitle you to a refund.
You are responsible for any taxes associated with your subscription, other than taxes on Intrepid Prime’s net income.
We may change posted prices on notice. Price changes do not affect the price of any term you have already paid for, and apply only to subsequent purchases or renewals.
4. License to use the Services
Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable license to access and use the Services during your active subscription term, solely for your own internal business purposes.
4.1 Output license — free tier
Output produced through the free tier is licensed to you for evaluation of the Services and internal, non-commercial review only.
4.2 Output license — paid tier
Output produced through the paid tier is licensed to you for incorporation into your own internal business analyses and into your own client-facing work product, provided that source citations and any provenance markers are preserved and not removed, obscured, or altered.
4.3 Restrictions
The license in this Section 4 is subject to the Acceptable Use Policy. You may not use Output, the Services, or any data obtained through the Services to train, fine-tune, benchmark, or evaluate any machine-learning model or artificial-intelligence system, to develop a dataset that competes with the KYRO data asset, to resell or sublicense the Services, or otherwise as restricted in the Acceptable Use Policy.
5. Customer Content and data
When you use the Services, you may submit company names, UEIs, contract numbers, query text, internal notes, and similar content (together, “Customer Content”) as part of your queries.
We use Customer Content to provide the Services to you and, in de-identified and aggregated form, to operate, secure, and improve the Services. We do not share Customer Content with other customers. We do not sell Customer Content.
Portions of Output are generated using third-party large-language-model providers. Customer Content submitted as part of a query, and Output returned to you, may be processed by those providers subject to their terms. We use enterprise-tier agreements with our model providers where available, which typically exclude our data from being used to train general-purpose foundation models, but we do not warrant any particular practice by any third-party provider.
You represent that you have the right to submit any Customer Content you submit, and that submitting it does not violate any law, contract, or third-party right.
You will not submit personal data to the Services beyond ordinary business contact information, and you will not submit protected health information, children’s data, payment-card data, or similar regulated personal data without a separate written agreement with us expressly permitting such processing. The Services are not designed for, and you must not use them to process, regulated personal data.
6. Intellectual property
The Services, the underlying KYRO data asset, the dimension-table architecture, the prompts and methodologies used to generate Output, and the structure, organization, and presentation of Output are owned by Intrepid Prime or our licensors, and are protected by U.S. and international intellectual property laws.
You retain all right, title, and interest in your Customer Content. You grant Intrepid Prime a non-exclusive, worldwide, royalty-free license to use, reproduce, and process Customer Content as needed to provide and improve the Services and as otherwise described in Section 5.
If you provide Intrepid Prime with comments, suggestions, or feedback about the Services (“Feedback”), you grant us a perpetual, irrevocable, worldwide, royalty-free license to use the Feedback for any purpose without restriction, attribution, or payment.
7. Acceptable use
Your use of the Services is subject to the Acceptable Use Policy, which is incorporated into these Terms by reference. The Acceptable Use Policy prohibits, among other things, using Output to train competing AI systems, rebuilding the KYRO data asset, reverse engineering the Services, scraping or automating queries beyond authorized levels, sharing account credentials, and removing source citations from Output. Violation of the Acceptable Use Policy is a material breach of these Terms.
8. AI and Output
The Services use artificial-intelligence techniques to generate Output. Our AI & Output Disclosure explains how the Services work, the known limitations of the underlying public data, and our position on Output and legal advice. The AI & Output Disclosure is incorporated into these Terms by reference.
You acknowledge and agree that:
- Output is informational. It does not constitute legal, financial, regulatory, tax, accounting, or other professional advice, and it does not create an attorney-client relationship.
- Output should be reviewed by a qualified professional before being relied upon for any decision with legal, financial, regulatory, or operational significance.
- Output is probabilistic. The same query may produce slightly different Output in different runs. Material factual claims should be stable across runs; stylistic presentation will vary.
- Certain categories of federal procurement data are systematically underreported in public sources, as further described in the AI & Output Disclosure.
9. Suspension and termination
You may cancel your subscription at any time through your account or by contacting us. Cancellation stops further renewals (if any) and ends access at the conclusion of your then-current paid term. As stated in Section 3, cancellation does not entitle you to a refund.
We may suspend or terminate your access to the Services, with or without notice, if we reasonably believe that:
- you have breached these Terms, the Acceptable Use Policy, or any other agreement with us;
- your use of the Services threatens the security, integrity, or availability of the Services or the rights of other users;
- continued provision of the Services would expose Intrepid Prime to legal or regulatory risk; or
- you have ceased to qualify for self-serve access (for example, if it appears you are a Competitor of Intrepid Prime, are using the Services on behalf of a Competitor, or provided materially inaccurate information in your access request).
On termination, your license to use the Services and to use Output ends, except that the restrictions in Section 4.3 and the obligations in Sections 4, 5, 6, 10, 11, 12, 13, and 14 survive.
10. Disclaimers
THE SERVICES AND OUTPUT ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. INTREPID PRIME DISCLAIMS ALL WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, COMPLETENESS, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.
WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE FROM HARMFUL COMPONENTS, OR THAT OUTPUT WILL BE ACCURATE, COMPLETE, OR SUITABLE FOR ANY PARTICULAR PURPOSE. THE LIMITATIONS OF THE UNDERLYING PUBLIC DATA SOURCES AND OF AI-GENERATED OUTPUT ARE FURTHER DESCRIBED IN THE AI & OUTPUT DISCLOSURE.
11. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, INTREPID PRIME AND ITS OWNERS, OFFICERS, EMPLOYEES, AND CONTRACTORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE FEES YOU PAID TO INTREPID PRIME IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).
These limits do not apply to the extent prohibited by law.
12. Indemnity
You will defend, indemnify, and hold harmless Intrepid Prime and our owners, officers, employees, and contractors from any third-party claim arising out of or relating to (a) your breach of these Terms or the Acceptable Use Policy, (b) your Customer Content or your submission of Customer Content to the Services, (c) your use of Output in violation of these Terms or in connection with any external publication, regulatory filing, or client deliverable, or (d) your violation of applicable law or any third-party right.
13. Governing law and disputes
These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-laws principles. Any action arising out of or relating to these Terms or the Services must be brought exclusively in the state or federal courts located in the State of Delaware, and you consent to the personal jurisdiction of those courts.
14. General
Entire agreement. These Terms, together with the Acceptable Use Policy, the AI & Output Disclosure, and the Privacy Policy, are the entire agreement between you and Intrepid Prime regarding the Services, and supersede any prior or contemporaneous communications.
Changes to these Terms. We may update these Terms from time to time. For material changes, we will post a revised version to intrepidprime.com with a new effective date and provide notice through your account or by email. Your continued use of the Services after the effective date of an updated version constitutes acceptance of the update. If you do not agree to an update, your remedy is to stop using the Services and cancel your subscription.
Assignment. You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a financing, merger, acquisition, or sale of all or substantially all of our assets.
No waiver. Our failure to enforce any provision is not a waiver of our right to enforce it later.
Severability. If any provision is held unenforceable, the remaining provisions remain in effect.
Notices. We may give you notice through your account, by email to the address associated with your account, or by posting to intrepidprime.com. You may give us notice at legal@intrepidprime.com.
